By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.

These Terms of Service constitute a legally binding agreement between you and INFLECTA LTD. Please read them carefully before using our Services.

In addition to these Terms of Service, your use of our Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms.

2. User Agreements

2.1 Account Registration

To access certain features of our Services, you may need to create an account. When registering for an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Age Restrictions

Our Services are intended for users who are at least 16 years of age. By using our Services, you represent and warrant that you are at least 16 years old. If you are under 16, you may not use our Services.

3.3 Payment Terms

We may change our fees at any time by posting the changes on our website or within the application. Continued use of our Services after a fee change constitutes your acceptance of the new fees.

3.4 Subscription Renewal and Cancellation

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings or by contacting our customer support team.

Upon cancellation, you will continue to have access to premium features until the end of your current billing period, after which your account will revert to the free plan.

4. Acceptable Use Policy

Our Acceptable Use Policy outlines the permitted and prohibited uses of our Services. By using our Services, you agree to comply with this policy.

4.1 Permitted Uses

You may use our Services to:

  • View, edit, and manage PDF documents for personal or business purposes
  • Create, convert, and share documents in accordance with applicable laws
  • Store and organize your documents within the storage limits of your subscription plan
  • Collaborate with others on documents when using applicable collaboration features

4.2 Prohibited Uses

You may not use our Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload, transmit, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Distribute malware, viruses, or any other malicious code
  • Engage in fraudulent activities or misrepresent yourself or your affiliation with any person or entity
  • Interfere with or disrupt the integrity or performance of our Services
  • Attempt to gain unauthorized access to our Services or related systems
  • Use our Services for data mining, scraping, or similar data gathering activities
  • Use our Services to infringe on intellectual property rights

Violation of our Acceptable Use Policy may result in the suspension or termination of your account and access to our Services. We reserve the right to report illegal activities to appropriate law enforcement authorities.

Our Services, including all content, features, functionality, software, design, and underlying technology, are owned by INFLECTA LTD or our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of our software, unless applicable laws prohibit these restrictions or you have our written permission.

5.2 Trademarks

The INFLECTA name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of INFLECTA LTD or our affiliates. You may not use these marks without our prior written permission.

5.3 Your Content

You retain ownership of any content you upload, submit, or create using our Services. By uploading content to our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your content solely for the purpose of providing and improving our Services.

5.4 Copyright Infringement

We respect the intellectual property rights of others and expect our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide us with the following information:

  • A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity
  • Your contact information, including your address, telephone number, and email address
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf

6. Limitation of Liability

6.1 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

6.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL INFLECTA LTD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR SERVICES
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES
  • ANY CONTENT OBTAINED FROM OUR SERVICES
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO OUR SERVICES EXCEED THE AMOUNT PAID BY YOU TO INFLECTA LTD DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR $100, WHICHEVER IS GREATER.

6.3 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

7. Termination Conditions

7.1 Termination by You

You may terminate your account at any time by following the instructions in your account settings or by contacting our customer support team. Upon termination, your right to use our Services will immediately cease.

7.2 Termination by Us

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms of Service.

We also reserve the right to discontinue our Services, either temporarily or permanently, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our Services.

7.3 Effects of Termination

Upon termination of your account:

  • Your right to access and use our Services will immediately cease
  • We may delete or archive your account information and content
  • You will remain liable for any outstanding fees or obligations incurred before termination
  • Sections of these Terms that, by their nature, should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

Data Retention After Termination

For free accounts, we may delete your data immediately upon termination. For paid accounts, we will retain your data for a period of 30 days after termination, during which time you may request a copy of your data. After this period, we may permanently delete your data from our systems.

8. Dispute Resolution

8.1 Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

8.2 Informal Dispute Resolution

Before filing a claim against INFLECTA LTD, you agree to try to resolve the dispute informally by contacting us at legal@inflecta-ltd.com. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or INFLECTA LTD may proceed with formal dispute resolution.

8.3 Formal Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms of Service, including the formation, interpretation, breach, or termination thereof, shall be resolved by arbitration in accordance with the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.

The seat of arbitration shall be London, United Kingdom. The language of the arbitration shall be English.

8.4 Restrictions

You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

8.5 Limitation Period

Any claim arising out of or related to these Terms of Service must be filed within one year after such claim arose; otherwise, the claim is permanently barred.

9. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. If we make material changes to these Terms, we will notify you by:

  • Posting the updated Terms on our website
  • Sending an email to the email address associated with your account
  • Displaying a notice within our application

The updated Terms will become effective 30 days after such notification. Your continued use of our Services after the effective date of the updated Terms constitutes your acceptance of the changes.

If you do not agree to the updated Terms, you must stop using our Services before the effective date. If you continue to use our Services after the effective date, you will be bound by the updated Terms.
